Website Terms and Conditions of Use

This page contains two documents: the Website Terms and Conditions of Use (below).

Welcome to our website, www.standardc.com (the "Site" or "Website"). By using this Site, you represent that you are an adult of 18 or more years of age, have the legal capacity to enter a contract, and agree to comply with and be bound by the following terms and conditions of use. Please review these terms and conditions carefully. If you do not agree to these terms and conditions, you are not authorized to use this Site. Each instance of access to or use of our Service by you constitutes unconditional acceptance of this Agreement.

1. Scope

This Website Terms and Conditions of Use (the "Agreement") governs your access to and use of the Site. This Agreement constitutes a legally binding agreement made between you and StandardC, Inc. ("StandardC", "Company", "we", "us" and "our"), concerning your access to and use of the Company's Website, online presence and social media, unified customer management platform and portal, and our software products or services (collectively, our "Service"). "You" or "your" means any individual, legal entity, or juridical person (including a financial institution) who accesses or uses the Service (also referred to as a Service "User" or "Subscriber"). "Authorized User" means Subscriber's employees and independent contractors working for Subscriber in the ordinary course of Subscriber's business who are bound by the terms of this Agreement, and are identified to the Company.

Subscriber is responsible for all acts and omissions of its Authorized Users and for all activity occurring under its accounts or credentials. Subscriber will: (a) have sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of all use of the Service by Subscriber and any Authorized User; (b) use commercially reasonable efforts to prevent unauthorized access to, or use of, the Service, and to notify StandardC promptly after becoming aware of any such unauthorized access or use; and (c) comply with all applicable local, state, federal, and foreign laws in using the Service.

The Privacy Statement, Acceptable Usage Terms, AI Disclaimer, and Responsible Disclosure Policy are incorporated by this reference into this Agreement. All capitalized terms in this Agreement have the meaning defined in any incorporated document. Nothing in this Agreement obligates StandardC to continue providing access to any Service beyond the date when StandardC ceases providing such Service to subscribers generally.

2. Privacy

Your use of the Site is also governed by our Privacy Statement, which is hereby incorporated into this Agreement. Please review our Privacy Statement at https://www.standardc.com/legal/privacy. StandardC reserves the right, and you authorize us, to use and assign all information provided by or collected from you in any manner consistent with our Privacy Statement.

3. Security

StandardC will maintain reasonable administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of Subscriber data in its possession or control. Subscriber is responsible for maintaining the confidentiality of its credentials, controlling access to its accounts, and using reasonable security measures on its own systems and devices.

4. Artificial Intelligence and Automated Functionality

Certain features of the Services may use automated, algorithmic, or artificial intelligence-enabled functionality to support analysis, classification, summarization, verification, monitoring, workflow support, or related operational tasks. Such features are intended solely to assist in service delivery and do not replace human oversight, independent review, or professional judgment. Subscriber acknowledges that such functionality may produce incomplete, inaccurate, outdated, or context-dependent outputs and agrees not to rely on such outputs without appropriate human review.

5. Outputs and Decision-Making Responsibility

The Services may generate alerts, reports, logs, monitoring results, verification results, audit records, summaries, flags, recommendations, or other outputs. Such outputs are provided to support Subscriber's operational workflows and do not constitute legal advice, regulatory determinations, credit decisions, fraud determinations, underwriting decisions, or other professional judgments. Subscriber remains solely responsible for reviewing, validating, and independently assessing all outputs and for all decisions, actions, and omissions arising from its use of the Services.

6. Limitations on Liability

UNDER NO CIRCUMSTANCES WILL COMPANY, OR ITS AGENTS, AFFILIATES, OR PARTNERS, BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO OUR WEBSITE OR CONTENT ON THE WEBSITE OR OUR PRODUCTS, OR YOUR USE OF THE SERVICE, EVEN IF STANDARDC IS ADVISED BY YOU OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO CEASE ALL USE AND TERMINATE YOUR SUBSCRIPTION. You may have additional rights under certain laws (including consumer laws) that do not allow the exclusion of implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

7. Disclaimer

THE INFORMATION ON THE WEBSITE AND SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS. YOU AGREE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. STANDARDC DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Specifically, StandardC does not warrant that the Service will always be available, be uninterrupted, be error free, meet your requirements, or that any defects in the Service will be corrected. While we strive to provide accurate descriptions of our products and services, we do not warrant that the descriptions, pricing, or other content on the Site are accurate, complete, or current. StandardC reserves the right to alter, modify, suspend or discontinue any and all aspects of the Service. To the extent your jurisdiction does not allow limitations on warranties, this limitation may not apply to you. Further, certain features of the Site rely on automated systems and artificial intelligence, and Outputs may be probabilistic, incomplete, or subject to technical limitations. We reserve the right to cease operating the Site or any of its features at any time.

8. Suspension

StandardC may suspend or restrict access to all or part of the Services immediately upon notice, or without notice where reasonably necessary, if StandardC believes that Subscriber or any Authorized User has: violated this Agreement or the Acceptable Usage Terms, AI Disclaimer, Privacy Statement, or applicable law; poses a security risk; threatens the integrity or availability of the Services; or engages in suspected fraud, misuse, or unauthorized activity.

9. Use of Information, Confidentiality, Non-Disclosure

You and StandardC may both receive non-public, confidential, proprietary, technical, commercial, financial, operational, customer, or business information from or pertaining to the other party in connection with the Services. All Confidential Information pertaining to you and your customers or ultimate end-users is the Confidential Information of both StandardC and you independently. You authorize StandardC to use and share all information provided by you in any manner consistent with the Privacy Statement.

You must maintain strict confidentiality with respect to all Confidential Information disclosed to you by the Company. The parties agree not to disclose Confidential Information to any third party without prior written consent. Exceptions to this obligation include publicly available information, information received from a third party without a duty of confidentiality, information independently developed, or information required to be disclosed by law. "Confidential Information" means: (1) all nonpublic information proprietary to StandardC (whether or not oral, or reduced to writing or any other tangible medium of expression, and whether or not patentable, capable of trade secret protection under the Uniform Trade Secrets Act or protected as an unpublished work under the United States Copyright Act of 1976); (2) information relating to developing intellectual property assets and business practices of StandardC, including financial data, customer lists, and technical specifications; (3) specific information provided by StandardC that is marked as "Confidential"; (4) comparable information that StandardC may receive or has received from others with whom it does business; and (5) personally identifiable information, defined as information by which a particular person can be identified without unreasonable effort, including, but not limited to, names and social security numbers, login IDs, drivers' license numbers, account numbers, or passwords of customers.

10. Ownership, Copyrights, Trademarks; Limited License

StandardC owns and retains all proprietary rights and intellectual property rights related to the Service. Any copying, distribution, redistribution, use, or publication by you of any such content or any part of the Service is strictly prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content or intellectual property asset of StandardC through use of, improvement to, enhancement of, or modifications to our Service. "Intellectual Property" means: (1) United States and foreign patents, trademarks (including the associated goodwill, and whether registered or at common law), copyrights and mask works, derivative works, registrations and applications therefor, and rights granted upon any reissue, division, continuation or continuation-in-part thereof; (2) trade secret rights arising out of the laws of any and all jurisdictions; (3) research and development, ideas, inventions, discoveries, improvements, methods and processes for doing business, know-how, engineering, drawings, patterns, blueprints, methods, processes, illustrations, writings, know-how, show-how, specifications, designs, prototypes, models, samples, moulds, product briefs, algorithms, computer and software programs and techniques, works, and concepts; (4) any other intellectual property rights, whether or not registrable; and (5) licenses in or rights to any of the aforementioned types of assets.

Copyrights and Copyright Agent

If you believe that any content made available through the Site, products, or Services infringes your copyright rights, you may submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA") by contacting our designated Copyright Agent at support@standardc.io. Your notice must include the following information:

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  2. A description of the copyrighted work that you claim has been infringed;
  3. A description of where the material that you claim is infringing is located on the Site;
  4. Your address, telephone number, and e-mail address;
  5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Limited License

Subject to the terms and conditions of this Agreement, StandardC grants you a non-transferable, non-exclusive, non-sublicensable, royalty-free, non-assignable, revocable, limited license to use our Service solely for your own use, only as minimally required to enjoy the benefit of your subscription and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy materials on the Service, access files not owned by you, reverse engineer or break into any aspect of the Service, modify, tamper with, or use our materials, products or software in violation of any law. You agree not to attempt to tamper with the security or functionality of our Service, and to refrain from examination of files that contain sensitive information not normally viewed by any middle or end-users, and/or containing information that does not belong to you. Further, you will not, directly or indirectly: reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Service or any software, documentation or data related to the Service; modify, translate, or create derivative works based on any component of the Service (except to the extent expressly permitted by StandardC or authorized within the Service); use the Services or any Software for timesharing or service bureau purposes or otherwise for the benefit of a third party; or remove any proprietary notices or labels. You are strictly prohibited from providing false information to StandardC or its third-party vendors. Knowingly providing false, fictitious, or misleading information (i.e., false name or false bank account credentials), or otherwise intentionally misrepresenting yourself is not permitted by this Agreement. Utilizing our Service for any user account in any way that is not consistent with this Agreement, including engaging in illegal, unethical, or malicious activity, is prohibited.

Transfer and Assignment of Rights to Company

The intellectual property rights, patent rights, trademark rights, copyright rights, commercial and proprietary rights, and all other rights of all kinds produced or improved by you during your access to or use of the Services (if any) belong to StandardC absolutely. You hereby waive any common law, statutory rights, moral rights or any other rights whatsoever which may accrue. You irrevocably transfer and assign to Company, in perpetuity and throughout the world, all your rights, titles and interests to intellectual property of any kind accruing to you related to your use of Company's Services. This clause will remain in force notwithstanding the termination of this Agreement.

The Site may provide links to other websites. This Site's terms and conditions of use and privacy practices may not apply to those other websites, which may have their own terms and policies. You should review the terms of use and privacy statements of any other websites that you visit.

11. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user of the Site, you agree not to:

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the Site.
  • Use any information obtained from the Site in order to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Site in a manner inconsistent with any applicable laws or regulations.
  • Engage in unauthorized framing of or linking to the Site.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • Delete the copyright management information, patent or trademark information, or other proprietary rights notice from any content on the Site.
  • Attempt to impersonate another user or person or use the username of another user.
  • Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1x1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
  • Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
  • Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
  • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
  • Use a buying agent or purchasing agent to make purchases on the Site.
  • Use the Site as part of any effort to compete with us or otherwise use the Site and/or the content for any revenue-generating endeavor or commercial enterprise.

12. Non-Circumvention

You must not tamper with, modify or attempt to circumvent any protection measure (whether digital or physical), lock or design implemented by StandardC to protect the Service, its Intellectual Property or other rights. Further, you must not reverse-engineer any part of the Service or STANDARDC® family of branded products.

13. Payments and Fees

Terms for payments or fees related to your subscription to or use of our Service are as set forth in the applicable StandardC software as a service license agreement.

14. Compliance with Laws

You agree to comply with all applicable laws regarding your use of the Site. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

15. User Representation

By using the Site, you represent and warrant that: (1) you have the legal capacity and you agree to comply with this Agreement; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Site through unauthorized automated means, whether through a bot, script, or otherwise; (4) you will not use the Site for any illegal or unauthorized purpose; and (5) your use of the Site will not violate any applicable law or regulation. If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). Subscriber will be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access, or otherwise use the Service, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers, and the like (collectively, "Equipment"). Subscriber will also be responsible for maintaining the security of the Equipment, Subscriber's account passwords (including but not limited to administrative and user passwords) and files, and for all uses of Subscriber's account or the Equipment with or without Subscriber's knowledge or consent.

16. Indemnification

You agree to indemnify, defend, and hold harmless StandardC and its affiliates, partners, employees, and agents from and against any and all claims, liabilities, losses, damages, and expenses, including reasonable attorneys' fees, arising out of or related to your use or misuse of the Site or Services outside the scope permitted by this Agreement, your breach of this Agreement, your violation of applicable law or third-party rights, the Company's use and storage of your data, or any content, data, or materials you submit or use in connection with the Site or Services.

17. Patents

Certain products, features, and technologies made available through the Services may be covered by one or more issued patents or pending patent applications owned by or licensed to StandardC.

18. Waiver

The failure of StandardC to exercise or enforce any right or provision of this Agreement does not operate as a waiver of such right or provision.

19. Arbitration; Fee Shifting

Any dispute, controversy, or claim arising out of, in connection with, or relating to this Agreement must be submitted to binding, non-appealable arbitration in the City and County of San Francisco under the commercial rules then in effect for the American Arbitration Association (or at any place or under any other form of arbitration mutually acceptable to the parties). Any award rendered will be final and conclusive, and a judgment thereon may be entered in any court of competent jurisdiction. The sole arbitrator will have the right to award to the prevailing party its attorney's fees and costs, including, without limitation, the costs of arbitration. In the event of any action to enforce or interpret the terms of this Agreement, or with respect to any dispute arising hereunder, or affecting creditors' rights generally, the prevailing party in such action shall be entitled to recover reasonable attorney fees and costs incurred. The term "costs" shall include, in addition to statutory costs and disbursements, all costs associated with discovery depositions, expert witness fees, and prosecution or defense of an action. For the purpose of this paragraph, the term "action" shall include any proceeding commenced in arbitration or any court of general or limited jurisdiction. Each party waives any rights to a jury trial in connection with any suit, action or proceeding seeking to enforce rights under this Agreement.

20. Governing Law, Venue, and Personal Service

You agree that the laws of the State of California (both substantive and remedial), without regard to conflicts of laws principles, will govern this Agreement, and any dispute that may arise between you and StandardC or its affiliates related to the Service. Any matter based upon or arising out of this Agreement, the matters contemplated herein, or a dispute between the parties of any kind must be initiated and prosecuted exclusively in the courts in the City and County of San Francisco, California. You expressly consent and submit to the personal jurisdiction and venue of the courts located within the City and County of San Francisco, California. You consent to personal service at the address provided by you in your user account (if any) or in the applicable StandardC software as a service license agreement.

21. Modification

This Agreement is subject to unilateral change by the Company. If StandardC makes a material change, it may provide notice by posting the updated version through the Services, by email, through the customer portal, or by other reasonable means. Continued use of the Services after the effective date of the updated terms constitutes acceptance of the revised terms, unless an applicable StandardC software as a service license agreement provides otherwise.

22. Entire Agreement

This Agreement, together with StandardC's Acceptable Usage Terms, AI Disclaimer, Privacy Statement, Responsible Disclosure Policy and any applicable StandardC software as a service license agreement, constitutes the entire agreement between you and StandardC regarding your use of the Service, and supersedes all prior or contemporaneous communications and proposals. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies, guidelines, or rules shared with you when you use the Service.

23. Severability

If any provision of this Agreement is found to be invalid, the remaining provisions will remain in full force and effect.

Conditions of Use

Our Conditions of Use (also referred to as our "Usage Terms" or "AUT") applies to anyone who can submit Inputs to StandardC's ("StandardC", "us", "we" or "our") AI Systems ("you," "your," or "customer," "users" or "end-users"). The Usage Terms is intended to help our users stay safe and promote the responsible use of our products and services.

By accessing or using the Services, you agree to comply with these Usage Terms, as well as the Website Terms and Conditions of Use, Privacy Statement, AI Disclaimer, and Responsible Disclosure Policy, each of which is incorporated by reference.

Definitions

  • "AI Systems" means any artificial intelligence, machine learning, large language model ("LLM") and data training and testing made available through the Services.
  • "Inputs" means any data, materials, text, research content, or information submitted by users.
  • "Outputs" means content generated by the AI Systems in response to Inputs.
  • "User" or "you" means any individual who accesses or uses the Services.

1. Eligibility and User Identification

You must be at least eighteen (18) years old and legally capable of entering into binding agreements. You agree to provide accurate identifying information where required and acknowledge that certain features of the Services may require affirmative acknowledgment by you (including clicking to accept model-use terms or upload confirmations) before use.

2. Regulatory Landscape and Compliance

Artificial intelligence regulation and global data governance laws evolve rapidly. StandardC makes reasonable efforts to comply with applicable legal frameworks; however, the regulatory landscape may change without notice. StandardC's ability to adapt its Services to emerging global AI laws, standards, and guidance is subject to ongoing technical, legal, and operational changes.

3. Permitted Use and Limited License

Subject to compliance with these Usage Terms, StandardC grants you a limited, non-exclusive, non-sublicensable, and revocable license to access and use the Services for lawful internal business purposes related to compliance, risk management, onboarding, verification, monitoring, fraud mitigation, underwriting, audit, and related operational activities. All rights not expressly granted to you remain reserved by StandardC.

Users may not attempt to use the Services to obtain or reconstruct substantial portions of copyrighted works or to circumvent safeguards designed to prevent excessive reproduction of protected materials.

4. User Representations and Warranties

StandardC implements reasonable measures intended to reduce algorithmic bias and to promote responsible development and operation of its artificial intelligence systems and technologies. While no automated system can be guaranteed to be free from bias, error, or unintended outcomes, StandardC seeks to apply ongoing review, testing, and refinement processes designed to improve fairness, reliability, and performance over time.

By using the Services, you represent and warrant that:

  • You will use the Services in compliance with applicable laws and institutional policies.
  • Any material you upload does not violate confidentiality, privacy rights, or intellectual property of any third party.
  • You have obtained any necessary permissions from all copyright or intellectual property interest holders before uploading protected material.
  • When prompted to confirm rights or permissions (including via click-through acknowledgments), your confirmation is accurate and truthful.
  • Your use of the Services will not cause StandardC to violate applicable intellectual property rights or regulatory obligations.

5. User Representations and Warranties, Data, Compliance Information, and Authorized Use

By uploading, submitting, or otherwise providing any Inputs, documents, records, images, customer information, business information, transaction information, verification materials, or other content through the Services, you represent and warrant that: (i) you will use the Services only for lawful, authorized business purposes related to compliance, onboarding, verification, monitoring, underwriting support, fraud mitigation, audit, oversight, and related operational functions, and not as a substitute for independent human review, legal analysis, or professional judgment; (ii) your collection, disclosure, and use of such information through the Services complies with applicable law, regulation, contract, notice, consent, and internal policy requirements; and (iii) all information provided in connection with any upload, including any confirmations made through click-through prompts or acknowledgments, is true, accurate, and complete. By clicking to confirm or proceeding with the upload, you certify that such confirmation is accurate and made in good faith.

6. Inputs, Outputs, and License Grant

To the fullest extent permitted by applicable law, you hereby assign and transfer to StandardC any and all right, title, and interest that may exist in and to your Inputs, including any copyrightable elements contained in materials you upload, submit, or otherwise provide through the Services. You acknowledge that any results, alerts, reports, logs, verifications, monitoring records, audit records, or other materials generated through the Services are provided to support compliance, risk management, onboarding, verification, monitoring, underwriting, fraud mitigation, audit, oversight, and related operational workflows, and do not constitute legal advice, regulatory determinations, or independent professional judgment. You acknowledge that Outputs generated by LLMs may not qualify for copyright protection; however, to the extent any intellectual property rights may arise in Outputs based on your interaction with the Services, you agree to assign and transfer such rights to StandardC upon creation.

To the extent any intellectual property rights may arise in such Outputs based on your interaction with the Services, no ownership in the Services, Outputs, or StandardC's underlying technology is transferred, and any rights are subject to StandardC's rights in the Services as provided in these Terms.

As between you and StandardC, you retain ownership of all data, documents, records, and other materials that you submit to the Services. StandardC retains ownership of the Services and all underlying software, technology, processes, methodologies, and platform-generated materials, other than your submitted data and any customer-specific information contained in such materials. To the extent any rights may arise in any platform-generated materials by operation of law, such rights are hereby assigned to StandardC. This clause survives termination of these Usage Terms.

7. Artificial Intelligence Systems and Model Use Terms

AI Systems rely on automated machine learning processes and statistical modeling. Outputs may be probabilistic, incomplete, or subject to technical limitations. You acknowledge that:

  • AI Systems do not replace professional or scientific judgment.
  • Algorithmic processes may be periodically updated, retrained, or refined by StandardC.
  • StandardC implements measures intended to reduce bias and improve system performance, but does not warrant that Outputs will be free from bias or error.
  • References to data management or security practices may be described in separate governance documents incorporated by reference.

8. Confidentiality and User Expectations

You acknowledge that content submitted to the Services may be processed by automated systems and service providers. Unless expressly stated otherwise in a separate agreement, you should not submit confidential information for which you require strict confidentiality protections. Users DO NOT have a reasonable expectation of privacy in content submitted to AI Systems beyond the safeguards described in the Privacy Statement.

Users acknowledge that Inputs may be logged, monitored, or retained for compliance, security, or regulatory purposes, including to investigate misuse, intellectual property infringement claims, or violations of governing policies.

9. Indemnification

You agree to indemnify, defend, and hold harmless StandardC and its affiliates from any claims, damages, or losses arising from:

  • Your breach of these Usage Terms;
  • Your violation of intellectual property rights, privacy right, confidentiality obligation, data protection requirement, or other right of a third party in connection with your data or use of the Services; or
  • Content you submit or upload to the Services.

10. Regulatory Disclosures and Algorithmic Governance

StandardC strives to maintain responsible AI practices, including periodic review, monitoring, and refinement of training processes. The methods used to train or retrain AI Systems may change over time as industry standards evolve.

11. Intellectual Property Complaints

If you believe that content available through the Services infringes intellectual property rights, you may submit a notice pursuant to the Digital Millennium Copyright Act.

12. Suspension and Termination

StandardC may suspend or terminate access to the Services if your conduct violates these Usage Terms, presents security risks, or conflicts with applicable policies.

13. Changes to Services and Terms

StandardC may update or modify these Usage Terms to reflect technological developments, legal changes, or operational needs. Continued use of the Services after updates constitutes acceptance of the revised terms.

Universal Usage Standards and High-Risk Use Cases

These Usage Terms are organized according to risk level and intended use cases. We will update our policy as our technology and the associated risks evolve or as we learn about unanticipated risks.

  • Universal Usage Standards: Our Universal Usage Standards apply to all users and use cases.
  • High-Risk Use Case Requirements: Our High-Risk Use Case Requirements apply to specific consumer-facing use cases that pose an elevated risk of harm.
  • Additional Use Case Guidelines: Our Additional Use Case Guidelines apply to certain other use cases.

StandardC will implement detection and monitoring to enforce our Usage Terms, so please review this policy carefully before using our products or Services. If we learn that you have violated our Usage Terms, we may throttle, suspend, or terminate your access to our products and Services. We may also block or modify model Outputs when Inputs violate our Usage Terms.

If you believe that our model Outputs are potentially inaccurate, biased, or harmful, please consult our Responsible Disclosure Policy for instructions on how to report the issue.

These Usage Terms are calibrated to strike an optimal balance between enabling beneficial uses and mitigating potential harms. StandardC may enter into contracts with certain governmental customers that tailor use restrictions to that customer's public mission and legal authorities if, in StandardC's judgment, the contractual use restrictions and applicable safeguards are adequate to mitigate the potential harms addressed by these Usage Terms.

Universal Usage Standards

Do Not Violate Applicable Laws or Engage in Illegal Activity

This includes using our AI tools to:

  • Infringe, misappropriate, or violate the intellectual property rights of a third party.
  • Violate any applicable laws or regulations in your jurisdiction, including through the creation, distribution, or promotion of false, misleading, or harmful content that may adversely affect individuals, organizations, or the public.

Do Not Compromise Computer or Network Systems

This includes using our products or services to:

  • Discover or exploit vulnerabilities in systems, networks, or applications without authorization of the system owner.
  • Gain unauthorized access to systems, networks, applications, or devices through technical attacks or social engineering.
  • Create or distribute malware, ransomware, or other types of malicious code.
  • Develop tools for denial-of-service attacks or managing botnets.
  • Create tools designed to intercept communications or monitor devices without authorization of the system owner.
  • Develop persistent access tools designed to operate below normal system security levels, including firmware modifications or hardware implants.
  • Create automated tools designed to compromise multiple systems at scale for malicious purposes.
  • Bypass security controls such as authenticated systems, endpoint protection, or monitoring tools.

Do Not Incite Violence or Hateful Behavior

This includes using our AI tools to:

  • Promote discriminatory practices or behaviors against individuals or groups on the basis of one or more protected attributes such as race, ethnicity, religion, national origin, gender, sexual orientation, or any other identifying trait.
  • Facilitate or promote any act of violence or intimidation targeting individuals, groups, or property.

Do Not Compromise Privacy or Identity Rights

This includes using our AI tools to:

  • Violate privacy rights as defined by applicable privacy laws, such as sharing personal information without consent or accessing private data unlawfully.
  • Misuse, collect, solicit, or gain access without permission to private information such as non-public contact details, health data, biometric or neural data (including facial recognition), or confidential or proprietary data.
  • Misrepresent AI-generated content as human-generated.
  • Use Outputs in a way intended to deceive individuals about the source or nature of the interaction.

Do Not Create or Spread Misinformation

This includes using our AI tools to:

  • Create or disseminate deceptive or misleading information about, or with the intention of targeting, a group, entity or person.
  • Create or disseminate deceptive or misleading information about laws, regulations, procedures, practices, standards established by an institution, entity or governing body.
  • Create or disseminate conspiratorial narratives meant to target a specific group, individual or entity.
  • Impersonate real entities or create fake personas to falsely attribute content or mislead others about its origin without consent or legal right.
  • Provide false or misleading information related to medical, health, or science issues.

Do Not Engage in Fraudulent, Abusive, or Predatory Practices

This includes using our AI tools to:

  • Generate content for fraudulent activities, schemes, scams, phishing, or malware that can result in direct financial or psychological harm.
  • Create falsified documents including fake IDs, licenses, currency, or other government documents.
  • Develop, promote, or otherwise facilitate the sale or distribution of fraudulent or deceptive products.
  • Engage in or facilitate multi-level marketing, pyramid schemes, or other deceptive business models that use high-pressure sales tactics or exploit participants.
  • Promote or facilitate payday loans, title loans, or other high-interest, short-term lending practices that exploit vulnerable individuals.
  • Engage in deceptive or abusive practices that exploit individuals based on age, disability, or a specific social or economic situation.
  • Engage in actions or behaviors that circumvent the guardrails or terms of other platforms or services.
  • Plagiarize or submit AI-assisted work without proper permission or attribution.

Do Not Abuse Our Platform

This includes using our AI tools to:

  • Coordinate malicious activity across multiple accounts to avoid detection or circumvent product guardrails or generating identical or similar inputs that otherwise violate our Usage Terms.
  • Utilize automation in account creation or to engage in spammy behavior.
  • Circumvent a ban through the use of a different account, such as the creation of a new account, use of an existing account, or providing access to a person or entity that was previously banned.
  • Intentionally bypass capabilities, restrictions, or guardrails established within our products for the purposes of instructing the model to produce harmful Outputs without prior authorization from StandardC.
  • Utilization of Inputs and Outputs to train an AI System (e.g., "model scraping" or "model distillation") without prior authorization from StandardC.

High-Risk Use Case Requirements

Some use cases pose an elevated risk of harm because they influence domains that are vital to public welfare and social equity. For these use cases, given potential risks to individuals and consumers, we believe that relevant human expertise should be integrated and that end-users should be aware when AI has been involved in producing Outputs.

As such, for the "High-Risk Use Cases" described below, these requirements apply in addition to all Universal Usage Standards. We require that you implement these additional safety measures:

Human-in-the-loop: When using our products or services to provide advice, recommendations, or in subjective decision-making directly affecting individuals or consumers, a qualified professional in that field must review the content or decision prior to dissemination or finalization. You or your organization are responsible for the accuracy and appropriateness of that information.

Disclosure: If model Outputs are presented directly to individuals or consumers, you must disclose to them that you are using AI to help produce your advice, decisions, or recommendations. This disclosure must be provided at a minimum at the beginning of each session.

"High-Risk Use Cases" include:

Finance: Use cases related to financial decisions, including investment advice, loan approvals, and determining financial eligibility or creditworthiness.

Additional Use Case Guidelines

Agentic use cases, regardless of whether they are High-Risk Use Cases, must comply with the additional guidance provided.
